If you do not agree with any part of these Terms, you must discontinue use of our services immediately. Your continued use of MailSteady constitutes your acceptance of these Terms.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the service following notification of changes constitutes your acceptance of the modified Terms.

2. Description of Services

2.1 Service Overview

MailSteady provides pre-configured Microsoft Outlook inboxes designed for cold email outreach. Our services include:

• Domain registration and configuration
• Inbox setup and authentication (SPF, DKIM, DMARC)
• Inbox delivery and deployment
• Technical support and account management
• Free replacement for flagged or compromised inboxes (within service terms)

2.2 Service Limitations

MailSteady provides inboxes and infrastructure only. We do not:

• Provide email sequencing or outreach software (integrate with third-party providers)
• Guarantee specific deliverability rates or inbox placement
• Manage your email warm-up process
• Monitor or manage your campaigns
• Provide legal advice regarding email compliance

2.3 No Guarantees

While we design our service for optimal deliverability, we cannot guarantee that emails will reach the inbox or that inboxes will never be flagged. Email deliverability depends on many factors beyond our control, including recipient server policies, content quality, and sending practices.

3. User Accounts

3.1 Account Creation

To use MailSteady, you must create an account and provide accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and password.

3.2 Account Responsibility

You are fully responsible for:

• All activities that occur under your account
• Maintaining the security of your credentials
• Notifying us immediately of any unauthorized access
• All actions taken through your account

3.3 Account Eligibility

You represent and warrant that:

• You are at least 18 years old
• You have the authority to enter into these Terms
• You are not prohibited by law from using the service
• You will comply with all applicable laws and regulations

3.4 Account Suspension

We reserve the right to suspend or terminate your account immediately if we reasonably believe you have violated these Terms or engaged in prohibited activities.

4. Payment Terms

4.1 Pricing and Payment

Pricing for our services is displayed on our website. All prices are in USD unless otherwise specified. You agree to pay the fees associated with your selected plan.

4.2 Billing Cycle

Payments are processed monthly on the date you subscribe. You authorize us to charge your payment method on a recurring monthly basis until you cancel your subscription.

4.3 Payment Method

You authorize us to charge your payment method for all fees and charges. If payment fails, we will attempt to collect payment using your backup payment method, if available.

4.4 Failed Payments

If payment fails after multiple attempts, your account may be suspended or terminated. Suspension of service due to non-payment may result in loss of access to your inboxes.

4.5 Refunds

All sales are final. Refunds are not available except as required by applicable law. For service issues, contact our support team for potential credits or service extensions.

4.6 Taxes

You are responsible for any applicable taxes on your purchases. We will charge applicable sales tax where required by law.

4.7 Price Changes

We may change our pricing with 30 days' notice. Price increases will not affect your current billing cycle but will apply to your next renewal date.

5. Acceptable Use Policy

5.1 Permitted Uses

You may use MailSteady for legitimate cold email outreach in compliance with applicable laws, including:

• GDPR (EU)
• CASL (Canada)
• Other applicable anti-spam and data protection laws

5.2 Prohibited Activities

You agree NOT to use MailSteady for:

• Spam, phishing, or scams
• Harassing, abusive, or threatening communications
• Illegal activities or content
• Sending malware or viruses
• Impersonation or fraud
• Violating any person's privacy or rights
• Circumventing security measures
• Reverse engineering or attempting to access unauthorized data
• Selling inboxes or sharing credentials with unauthorized parties
• Operating competing services using our infrastructure

6. Restrictions on Use

6.1 Use Restrictions

You agree not to:

• Attempt to access systems or accounts you don't own or have authorization for
• Interfere with or disrupt the integrity or performance of our service
• Share your account credentials with others or use shared accounts
• Resell, redistribute, or commercially exploit inboxes
• Remove, alter, or obscure any proprietary notices
• Automate access to the service in a manner that exceeds reasonable use
• Crawl, scrape, or extract data from our service
• Attempt to bypass rate limits or security measures

6.2 Compliance with Laws

You agree to comply with all applicable federal, state, and local laws, including email marketing laws, data protection regulations, and anti-spam legislation. You are solely responsible for ensuring your use complies with all applicable laws.

7. Intellectual Property

7.1 Our Intellectual Property

All content, features, and functionality of MailSteady (including software, designs, graphics, and text) are owned by MailSteady or our licensors and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use MailSteady for your personal, non-commercial use. You may not:

• Reproduce or copy our materials
• Modify or create derivative works
• Distribute or publicly display our content
• Sublicense or transfer the license
• Use our materials for commercial purposes without authorization

7.3 Your Content

You retain all rights to content you create and send through MailSteady. By using our service, you grant us a license to use your content as necessary to provide the service.

Any feedback, suggestions, or ideas you provide about MailSteady may be used by us without compensation or attribution.

8. Warranty Disclaimer

• Uninterrupted or error-free service
• Absence of viruses or harmful code
• Inbox deliverability or placement rates

8.2 No Guarantees

We do not guarantee that:

• Inboxes will be flagged or compromised
• Your emails will be delivered to recipient inboxes
• Your emails will not be marked as spam
• Service will be available at all times
• Any defects will be corrected

8.3 User Responsibility

You are responsible for making your own assessment of whether MailSteady is suitable for your needs and for maintaining appropriate backups of your data.

9. Limitation of Liability

9.1 No Consequential Damages

To the maximum extent permitted by law, MailSteady shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of data, or business interruption, regardless of the cause and whether under contract, tort, negligence, strict liability, or any other legal theory.

9.2 Liability Cap

In no event shall MailSteady's total liability exceed the amount you paid for the service in the twelve months preceding the claim.

9.3 Exceptions

Some jurisdictions do not allow limitation of liability. If you are in such a jurisdiction, our liability is limited to the extent permitted by law.

9.4 Third-Party Services

We are not liable for services provided by third parties, including payment processors, email platforms, or other integrated services.

10. Indemnification

You agree to indemnify and hold harmless MailSteady and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:

• Your use of MailSteady
• Your violation of these Terms
• Your violation of any applicable law or third-party rights
• Your content or communications sent through the service
• Any spam, phishing, or illegal activities conducted through your account

10.2 Defense

We will notify you promptly of any claim subject to indemnification. You will have the right to assume the defense of the claim, provided you settle the claim at your own expense.

11. Termination

11.1 Termination by You

You may terminate your account at any time by contacting our support team or through your account settings. Upon termination, your right to use MailSteady ends immediately.

11.2 Termination by Us

We may terminate or suspend your account immediately, without notice, if:

• You violate these Terms or our Acceptable Use Policy
• We reasonably believe you are engaged in prohibited activities
• You engage in spam, phishing, or illegal activities
• Your payment fails repeatedly
• We determine your account poses a risk to our service or other users

11.3 Effect of Termination

Upon termination:

• Your access to MailSteady ends immediately
• You remain liable for all fees incurred through the termination date
• We may delete your account data after 30 days
• Provisions regarding indemnification, limitation of liability, and governing law survive termination

12. Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law principles.

You agree to submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any legal proceedings related to these Terms or MailSteady.

12.3 Arbitration

Any disputes arising from or relating to these Terms shall be resolved by binding arbitration administered by JAMS, rather than in court, except for claims involving intellectual property infringement or injunctive relief.

12.4 Class Action Waiver

You agree that any arbitration or litigation shall be conducted on an individual basis and not as a class action, collective action, or representative action.

12.5 Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be severed, and the remaining provisions shall remain in full force and effect.
